1. Acceptance of Terms

By accessing and using the website and services of OPco ("we", "us", "our"), you accept and agree to be bound by the terms and provision of this agreement. In addition, when using these particular services, you shall be subject to any posted guidelines or rules applicable to such services.

2. Description of Services

OPco provides custom software development, web design, API integration, and related technical services. The specific deliverables, timelines, and costs will be detailed in separate Statements of Work (SOW) or project proposals agreed upon by both parties.

3. Intellectual Property Rights

Upon full payment of all undisputed invoices related to a project, OPco grants you a non-exclusive, worldwide, royalty-free license to use, display, and modify the deliverables. Pre-existing proprietary code, libraries, and frameworks remain the intellectual property of OPco or their respective open-source license holders.

4. User Responsibilities

You agree to provide timely feedback, assets, and approvals necessary for OPco to deliver services on schedule. Delays in providing necessary materials may result in project timeline extensions.

5. Warranties and Limitation of Liability

OPco warrants that the services will be performed in a professional and workmanlike manner. EXCEPT FOR THE FOREGOING, OPCO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

In no event shall OPco be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the services.

6. Term and Termination

Either party may terminate a project with 30 days written notice. Upon termination, you agree to pay OPco for all work completed up to the date of termination.

7. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of our operating jurisdiction, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.
